As you are aware, the Joint Venture Agreement, clause 2.1.1 and 2.1.2 =

2.1.1 The Parties after the execution of this Agreement shall =
constitute a Project Committee which shall provide guidance to Henan =
Guoji as to the project operations and manner in which Henan Guoji shall =
operate the entire project.

2.1.1 The Project Committee shall have equal representation from =
both Parties and each Party shall be entitled to designate 3 members of =
the Committee as well as substitute its member in the Committee by =
written notice to the other Party.

Further, the JVA, under clause 2.1.6 states that:

The members shall appoint a chairperson of the Project Committee and a =
secretary among themselves at their first meeting. The Parties intend =
there to be a meeting of members at least once a month and meeting =
minutes of such meetings shall be shared within 7 days by the secretary.

With the foregoing, please note that MHC is finalizing its appointment =
of a three member delegation which shall be part of the Project =
Committee with an intention that soon after the announcement we will =
require the committee to hold its first meeting within the month of =
September. The intention of writing this email then are twofold, these =
are:

1. Sensitizing each other that both Henan Guoji and MHC should speed up =
the selection of the three members which should then be announced to the =
other.
2. Prepare that that the Project Committee will be meeting soon.

MHC will therefore within the next couple of days be communicating to =
you the names of the members of the Project Committee. We ask you to =
also do likewise.
